Ordinary general meeting of Shareholders

INVITATION

Balkancar-Zarya PLC-Pavlikeni has appointed a General Meeting of Shareholders on 30.06.2009 at 11:00 a.m. in Pavlikeni, 1 T.Katev St., under the following agenda:
- Report of the management bodies about the activities of the company in 2009
- Adoption of the 2009 annual financial statement of the company
- Adoption of the 2009 consolidated financial statement of the company
- Report of the certified accountant about his 2009 audit
- Report of the Investor Relations Director
- Election of a certified accountant

- Election of a Audit Comitee
- Exemption from liability of the members of the management bodies for their activity in 2009
- Amendments of the management bodies of the company

- Addoption of the approved on 11.12.2009 by the general meeting of bondholders amendments to the paramenters of the issue of corporate secured bonds under ISIN BG2100015077. Authorisation of the Board to take all factual and legal steps for the acquisition of 100% of the capital of Watts Lanka Ltd.-Sri Lanka or to take measures for the collection of the existing receivables of the company. Prohibition of the Board of Directors of Balkacar ZARYA PLC and of the Company representatives to carry out transactions affecting the ownership of 100% of the capital of Watts Lanka Ltd – Sri Lanka without the explicit consent of the holders of bonds of the corporate secured bond issue under ISIN BG2100015077.

In the absence of a quorum, the GMS will be held on 16.07.2010 at 11:00 a.m., at the same place and under the same agenda. The voting right will be entitled to all shareholders registered with the Central Depository AD 14 days before the GMS i.e. by 16.06.2010(Record Date)."
